Terms of Use

These Terms of Use ("Terms") govern your access to and use of the services provided by Inforah Private Limited ("Follow The Spend", "we", "us", or "our"), including the website at followthespend.com, the dashboard at app.followthespend.com, and any related APIs or integrations (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Service. The Service is intended for businesses operating Shopify stores. Consumer use is not permitted.

2. Description of Service

Follow The Spend is a marketing attribution and visitor analytics platform for Shopify merchants. The Service tracks visitor sessions, marketing touchpoints, and Shopify orders, and presents attribution reports, visitor journey timelines, and related analytics within the dashboard.

Features marked "Coming Soon" are not yet available and are provided for informational purposes only. We make no commitment to a specific delivery date for such features.

3. Account Registration and Security

You must register for an account to use the Service. You agree to provide accurate, complete, and current information and to keep your credentials secure. You are responsible for all activity that occurs under your account. Notify us immediately at connect@inforah.com if you suspect unauthorised access.

4. Shopify Integration

The Service integrates with your Shopify store via Shopify's OAuth flow. By connecting your store, you authorise us to access order data, install a tracking script (intentIQ), and register webhooks on your behalf, using the permissions you approve during the OAuth flow. You may disconnect the integration at any time from your Shopify admin. Disconnecting will stop data collection but will not automatically delete existing data (see our Privacy Policy for retention terms).

5. Subscriptions and Billing

5.1 Plans and Pricing

The Service is offered on monthly subscription plans: Starter, Growth, Scale, and Enterprise. Pricing is displayed at followthespend.com/pricing. All prices are in INR or USD based on your location at the time of subscription. Currency is locked for the life of a subscription; switching requires cancellation and re-subscription.

5.2 Free Trial

New accounts on Starter, Growth, or Scale plans receive a 7-day free trial with no credit card required. At the end of the trial period, you must select a paid plan to continue using the Service. If no plan is selected, your account will be placed in read-only mode and data ingestion will stop.

5.3 Billing Cycle and Renewal

Subscriptions are billed monthly in advance. Your subscription renews automatically on the same date each month unless cancelled. Payments are processed by Razorpay.

5.4 Grace Period

If a payment fails, your account enters a 7-day grace period during which the Service remains accessible. If payment is received within the grace period, the next billing cycle is backdated to the original period end date — grace days count toward the renewed cycle. If payment is not received by the end of the grace period, your account status changes to expired.

5.5 Usage and Soft Cap

Each plan includes a monthly order limit. If your store's orders exceed the limit, we will continue tracking data (soft cap — no hard cutoff) and notify you by email and in-dashboard banner to consider upgrading. Persistent overuse without upgrading may result in service limitations at our discretion.

5.6 Cancellation

You may cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a billing period.

6. Acceptable Use

You agree not to:

• Use the Service to track visitors without complying with applicable privacy laws and your store's privacy policy
• Reverse-engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to infringe intellectual property rights of any third party
• Transmit malicious code, interfere with the Service's infrastructure, or attempt unauthorised access
• Resell or sublicense the Service without our written consent
• Use the Service for any unlawful purpose

7. Data Ownership

Your data is yours. All raw data collected from your Shopify store — visitor events, order data, and attribution records — remains your property. We process it solely to provide the Service. We do not sell, share, or use your store's data for any purpose other than operating and improving the Service.

We may use aggregated, anonymised, non-identifiable data (e.g., aggregate industry trends) to improve the Service. No individual store or visitor can be identified from such aggregated data.

8. Intellectual Property

The Service, including its software, design, trademarks, and content, is owned by Inforah Private Limited and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand elements.

You grant us a limited, non-exclusive licence to access and process your store's data solely to provide the Service.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that attribution data will be 100% accurate — attribution modelling involves inherent limitations, including ad-blocker interference and cross-device attribution gaps.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Inforah Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the total fees paid by you to us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Inforah Private Limited and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.

12. Termination

We may suspend or terminate your account immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct we determine to be harmful to the Service or other users. Upon termination, your right to access the Service ceases. We will retain your data for 30 days post-termination, after which it will be deleted per our Privacy Policy, unless a longer retention period is required by law.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the dashboard at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
